Corporate Board Member Magazine CoversCorporate Board Member magazine is an information resource for senior officers and directors of publicly traded corporations, top private companies, and Global 1000 firms. Each issue provides readers with decision-making tools to help them deal with the challenges confronting their boards. Topics include corporate governance, board trends and best practices, director compensation, director liability, board education, board size and make-up issues, management succession, recruiting directors, board advisors, shareholder activism, and audit committee issues.

An online information library complements the magazine, which is published every other month. This Resource Center offers valuable content on strategic and governance issues, executive and director compensation, audit committees, risk management, international and technology trends, investor relations, and other critical topics facing today's directors and officers of publicly traded companies.

The Resource Center also features webcasts and interviews. In December 2002, Corporate Board Member and the NASDAQ Stock Market launched a series of educational webcasts on board governance issues. The webcasts include perspectives of top board advisors from PricewaterhouseCoopers, FTI Consulting, Wilson Sonsini Goodrich & Rosati, and Hewitt Associates as well as NASDAQ and Corporate Board Member .

Corporate Board Member further extends its governance leadership through conferences, director training programs, roundtables, an extensive database, and timely research. The magazine maintains the most comprehensive, up-to-date database of directors and officers serving on boards of publicly traded companies listed with NASDAQ, New York Stock Exchange, and American Stock Exchange. The Directors Database includes relevant information such as a director's affiliation with a company, the number of boards on which he or she serves, industry information, and demographic data. Our data team makes approximately 3,000 changes and updates to this database each week.

Corporate Board Member leverages its database to provide timely research on board governance trends. In-touch with the directors and officers of all publicly traded companies listed with NASDAQ, NYSE, and AMEX, Corporate Board Member is able to provide insight unsurpassed by any other resource. Past survey topics include Sarbanes-Oxley, shareholder lawsuits and the impact of corporate reform. In addition, the magazine conducts an annual "What Directors Think" study.

Each year, Corporate Board Member publishes a special legal issue to better educate directors and officers on the complex legal issues they face. The centerpiece of this issue is Corporate Board Member 's ranking of the top 20 law firms nationally and the top five firms in 25 major metropolitan areas, based on a survey of directors on the boards of publicly traded companies.

In 2001, Corporate Board Member formed an Academic Council on Emerging Board Trends, which meets each May to identify and discuss emerging trends in corporate governance and issues impacting today's corporate boardrooms. The Council is made up of notable academics representing some of the country's most prestigious universities.

Corporate Board Member hosts a variety of conferences and director-training programs throughout the year designed to increase the effectiveness of directors. One of the publication's flagship conferences is its Annual Boardroom Summit event. Other event topics range from bank executive and board compensation and a general counsel roundtable. In addition, Corporate Board Member 's sister publication, Bank Director , hosts an annual merger and acquisition event, which has become the premier M&A event for the financial services industry.
