Director Education and Certification Program

OVERVIEW
The UCLA Director Education and Certification Program delivers an advanced curriculum designed to sharpen the skills of experienced directors, while offering an additional first day on governance fundamentals for new and less experienced directors. Now in its eleventh year, and sponsored in part by the NASDAQ Educational Foundation™, this ISS-accredited program focuses on the critical duties, responsibilities, challenges, risks, and liabilities of being a director. Participants enhance their abilities to manage the often conflicting demands for excellent governance effectively and safely. An optional exit exam certifies that directors successfully completing the program possess knowledge, skills, and competencies of excellent corporate governance.
Special Features:
- The core program covers such advanced topics as the board and strategy, enterprise risk management, corporate social responsibility, board roles in growth strategies (including mergers and acquisitions and globalization), and the roles of independent directors, committees, lead directors and board chairs.
- An optional first day (required for new and less experienced directors) thoroughly covers the responsibilities, duties and protection mechanisms of corporate directors (including their filing and disclosure obligations) and the foundations of governance best practices. It is an excellent update for experienced directors.
- Certified graduates may submit resumes to UCLA Anderson’s unique Director Match Program to gain exposure to executive placement firms and others seeking to place qualified directors on public company boards.
- Program graduates may also join the UCLA Anderson Directors Network to attend select board update programs and develop relationships with other certified directors.
PROGRAM OBJECTIVES
- Become a more knowledgeable director, able to build and leverage a highly effective board.
- Develop a deeper understanding of the demands placed on boards for oversight of financial reporting, compliance programs, corporate strategy, and corporate social responsibility.
- Better predict, manage, and attenuate the major forms of enterprise and director risk.
- Identify the key predictors of accounting fraud and how these can contribute to effective fraud countermeasures.
- Stay up-to-date on governance regulations and best practices.
- Learn how to use board committees effectively.
- Develop a network of experienced corporate directors.
FACULTY
Faculty include experienced academic thought leaders from UCLA Anderson School of management, board members of select Fortune 500 firms, and world-class industry practitioners from firms such as DLA Piper, Ernst & Young LLP, Protiviti, Latham & Watkins LLP, and Deloitte & Touche USA LLP.
