Most of the Rossis’ proxy proposals sought shareholder backing for the termination of poison pills, and at Pharmacia for simple-majority voting too. Simple-majority voting was also what they called for at Baker Hughes and EDS. They failed to get sufficient support for the rotation of auditors at A&P and Winn-Dixie, and for the nomination of outside directors to key committees at GM.
