What 30 Top Comp Committees Pay Their CEOsAnd Themselves
from September/October 2007
The fuss over CEO pay explains why many directors drawing heat these days serve on the compensation committee. Sorry, there’s no surefire absolution even if the offending CEO was firmly entrenched before you joined the board.
A listing of these committee members at 10 top companies in the S&P 500, the Russell Midcaps, and the Wilshire Small Caps, ranked by market capitalization as of April 30, appears here.
Corporate Board Member
commissioned the Corporate Library, a shareholder watchdog and research outfit, to calculate the total compensation the 30 companies paid these directors in 2006. The resulting amounts often vary at the same company because they include not only basic board retainers but all the other fees individual directors collected for—say, chairing the comp committee, attending board and committee meetings, and working on (or chairing) other committees as well. The dollar amounts also include the value of stock grants and the like.
In addition, the Corporate Library calculated the total comp paid to the CEOs of these companies, factoring in such things as the value of stock options and pension benefits. To measure the CEOs’ performance, Morningstar, an investment research outfit, provided each company’s total return and that of its industry, along with its revenues and profit. All figures are for fiscal 2006 unless otherwise stated. The CEOs and directors here are those identified as holding the positions in their companies’ proxies. Some have since moved on. But even without them, there’s still enough heat left to go around.
